Terms of Service
Please read these terms carefully before engaging our services.

1. Introduction
These Terms of Service ("Terms") govern your engagement with KPNR & Co ("the Firm", "we", "us", or "our"), a Chartered Accountancy firm registered in India. By engaging our services, you agree to be bound by these Terms.
2. Services Offered
KPNR & Co provides professional services including but not limited to:
- Statutory and internal audit
- Tax planning, compliance and advisory
- GST registration, filing and advisory
- Company incorporation and regulatory compliance
- Business advisory and financial consulting
- Accounting and bookkeeping
Specific deliverables, timelines, and scope of work are defined in the engagement letter provided to each client before commencement of services.
3. Engagement and Acceptance
All professional engagements are formalised through an engagement letter or service agreement. Work begins only after the client has accepted the engagement terms and any applicable advance payment has been received.
4. Client Obligations
Clients are responsible for:
- Providing accurate, complete and timely information and documents required for the engagement.
- Responding to queries and requests within reasonable timeframes to avoid delays.
- Complying with all applicable laws and regulations relevant to their business.
- Making payments as per the agreed terms.
5. Fees and Payment Terms
All fees are quoted and payable in Indian Rupees (INR / ₹).
Payment terms vary depending on the nature of the engagement:
- Advisory and consulting services: An advance retainer fee may be required before work commences. The balance is payable upon completion or as per milestones defined in the engagement letter.
- Recurring services (bookkeeping, compliance filings, etc.): Billed monthly or quarterly as agreed. Payment is due within 15 days of invoice.
- One-time services (registration, audit, etc.): Payment schedule as specified in the engagement letter, which may include partial advance payment.
Applicable taxes (GST at 18%) will be charged in addition to the professional fees.
6. Confidentiality
We are bound by professional ethics and the Code of Conduct prescribed by the Institute of Chartered Accountants of India (ICAI). All client information shared with us is treated as strictly confidential and will not be disclosed to third parties except as required by law or with the client's written consent.
7. Limitation of Liability
Our services are performed in accordance with applicable professional standards. While we exercise due care and diligence, our liability is limited to the fees paid for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.
8. Intellectual Property
All reports, documents, and work products prepared by the Firm remain our intellectual property until full payment is received, at which point they are licensed to the client for their intended use. Our proprietary methodologies, templates, and tools remain our property at all times.
9. Dispute Resolution
Any disputes arising from our engagement shall first be resolved through mutual discussion. If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with Chennai, Tamil Nadu as the seat of arbitration.
10. Governing Law
These Terms are governed by the laws of India. The courts of Chennai, Tamil Nadu shall have exclusive jurisdiction over any matters arising from these Terms.
11. Changes to These Terms
We reserve the right to update these Terms from time to time. Clients will be notified of material changes. Continued engagement after such changes constitutes acceptance of the revised Terms.
